2024 GICLI Annual Meeting

Corporate legal departments face a similar phenomenon: achieving more with finite resources. Doing more with less is that much more challenging when considering the escalating risk and complexity teams encounter when handling government investigations and civil litigation.

To reinforce its mission of furthering legal tech education, the Government Investigations & Civil Litigation Institute (GICLI) will host its annual meeting in Fort Lauderdale this fall. CFIUS Compliance Monitorships: What You Need to Know
Compliance monitorships of controls required by the Committee on Foreign Investments in the United States (CFIUS) for national security reasons have grown in importance as CFIUS has become more active in recent years. A monitorship provides the CFIUS Monitoring Agencies (CMAs) with the day-to-day oversight necessary to show that the covered transaction’s National Security Agreement (NSA) obligations will not jeopardize US national security generally by compromising critical infrastructure industries, critical technology, IP, PII, or real estate. This panel will discuss best practices for CFIUS compliance monitorships, including when monitors are used, how monitors are selected, how monitorships work in practice, and reconciling the goals and perspectives of regulators, monitors, and corporations.

What We Learned in 2024 About Getting Deals Approved 
As the M&A environment improved and regulators continued to pursue aggressive competition enforcement in 2024, corporations and their counsel confronted major regulatory uncertainties. This panel will discuss what we learned about how the FTC and DOJ viewed competition issues this year and how parties can best seek approval of their deals next year. We will discuss, among other things, the revisions to the Merger Guidelines and what those revisions signal about merger enforcement; lessons learned from recent competition cases in which the FTC and DOJ won, lost, or accepted settlements; the current environment for consent decrees and negotiated divestitures; and the proposed revisions to the Hart-Scott-Rodino merger notification filing process.
